Terms of Service

Agreement

These Terms of Service (“Terms”) govern your use of https://portal.overunity.ca (the “Portal”) operated by Overunity Digital (“we”, “us”, “our”). By accessing or using the Portal, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Portal.

The service

The Portal is a customer account interface for Overunity Digital services — including billing, email hosting, website tools, reports, mailing lists, and related products we enable on your account. The Portal is not a general-purpose hosting platform for unrelated workloads.

Accounts and access

  • Portal accounts are provisioned by Overunity when you subscribe to a service or when an operator creates access on your behalf. Self-service sign-up is not offered on the Portal.
  • You sign in with a one-time email code (OTP). Keep your email account secure; activity through your Portal session is treated as authorized by you.
  • You are responsible for users on your account and for keeping contact and billing information current.
  • We may suspend or terminate access for violation of these Terms, non-payment, or security risk.

Acceptable use

You agree not to:

  • Use the Portal for unlawful, fraudulent, or abusive purposes
  • Send spam, phishing, or unsolicited bulk email through Portal-connected services (including Lists)
  • Attempt to bypass authentication, rate limits, or access controls
  • Probe or disrupt Portal infrastructure or connected vendor systems
  • Impersonate another person or misrepresent your affiliation
  • Upload or distribute malware, illegal content, or material that infringes third-party rights

We may investigate violations and cooperate with law enforcement where required.

Billing and subscriptions

Paid services are billed according to your subscription agreement and Stripe checkout or invoice terms. Payment processing is handled by Stripe; their terms apply to payment methods and transactions. Fees, renewal dates, and product entitlements are shown in the Portal and may change on renewal with notice where required. You are responsible for taxes unless stated otherwise in your agreement.

Third-party services

The Portal integrates with third-party providers (for example Stripe, Mailcow, Google, and email delivery services). We expose a limited, branded interface; you generally should not need direct access to underlying vendor consoles. Those providers’ terms and policies apply to their services. We are not responsible for third-party outages or policy changes outside our control.

Your content

You retain ownership of content you submit through the Portal (for example list subscribers, form messages, or blog drafts). You grant us the rights necessary to host, process, transmit, and display that content solely to provide the services you subscribed to.

Availability and disclaimers

We provide the Portal on a reasonable-effort basis. The Portal and integrated services may be unavailable during maintenance, upgrades, or events beyond our control. Except where prohibited by law, the Portal is provided “as is” without warranties of uninterrupted operation, fitness for a particular purpose, or error-free performance.

Limitation of liability

To the maximum extent permitted by applicable law, Overunity Digital and its officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill arising from your use of the Portal. Our total liability for any claim relating to the Portal is limited to the fees you paid to us for Portal-connected services in the twelve (12) months before the event giving rise to the claim, unless a different limit is required by law.

Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Portal, your content, or your violation of these Terms or applicable law.

Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Disputes will be resolved in the courts of Alberta, unless mandatory consumer protection rules require otherwise.

Changes

We may update these Terms from time to time. The effective date at the top will change when we do. Material changes may be communicated through the Portal or by email where appropriate. Continued use after changes constitutes acceptance.
